Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and Questdrium Tech ("Questdrium", "we", "us") governing your access to and use of the XyloPOS Platform and its associated services, including our website, APIs, and AI tools (collectively, the "Platform"). By creating an account or using our Platform, you agree to be bound by these Terms and our Privacy Policy.

1. Account Registration and Roles

To access most features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during the registration process. The Platform provides distinct roles with varying levels of access:

  • Master Admins: Have complete control over the entire platform, including client management, platform-wide settings, and final approval for developer extensions and advertisements.
  • Corporate Admins ("Clients"): Manage all aspects of their own business entity, including multiple locations, staff, billing, and are considered the "Data Controller" for their End-Customers' data.
  • Managers & Staff: Employees of a Client authorized to operate the POS and other business functions within their assigned location(s).
  • Developers: Third-party individuals or entities who build and submit applications ("Extensions") to our marketplace.
  • Support Agents: Authorized personnel who may access Client accounts for troubleshooting and support purposes, sometimes through impersonation.

You are responsible for all activities that occur under your account and for maintaining the confidentiality of your password.

2. Subscription Services (B2B)

The Platform is offered on a Software-as-a-Service (SaaS) subscription basis. Clients agree to pay the monthly fees associated with their selected plan.

  • Billing: Fees are billed in advance on a monthly basis and are non-refundable. Payments are processed via our third-party payment processors (e.g., Stripe, Clip.mx).
  • Auto-Renewal: Your subscription will automatically renew each month unless you cancel it through your billing portal before the renewal date.
  • Plan Changes: You may upgrade or downgrade your plan at any time. Changes will be prorated for the current billing cycle where applicable.
  • Failure to Pay: We reserve the right to suspend or terminate access to the Platform for accounts with overdue payments.

3. Developer Platform & Marketplace (B2P)

The Platform includes a marketplace where Developers can offer Extensions to Clients.

  • Review Process: All Extensions are subject to a mandatory review process before being listed. This includes, but is not limited to, automated security scanning, AI-powered code analysis, and manual review. We reserve the right to approve, reject, or remove any Extension at our sole discretion, for any reason, including security concerns, policy violations, or poor user experience.
  • Monetization and Commission: Developers may offer Extensions for free or as a paid monthly subscription. Questdrium shall process all payments on behalf of the Developer and will retain a 30% commission from the gross subscription revenue of all paid Extensions. The remaining 70% constitutes the Developer's earnings.
  • Payouts: Developer earnings are subject to a minimum payout threshold (e.g., $100 USD). Payouts will be processed monthly to a valid bank or Stripe account linked via our secure payout provider (e.g., Plaid). Developers are responsible for any transaction fees associated with the payout process.
  • Responsibilities: Developers are solely responsible for their Extensions, including functionality, security, support, and compliance with our policies and applicable laws. You must provide a valid support contact and respond to user issues in a timely manner. Failure to maintain your Extension may result in its removal from the marketplace.

4. AI-Powered Features

Our Platform incorporates several AI-powered tools (e.g., KairosAI, CLV-A, ProfitFlowAI, Prescriptive Simulation Hub). Your use of these features is subject to the following conditions:

  • Informational Purposes: All outputs, suggestions, predictions, and analyses generated by our AI tools are provided for informational purposes only. They are not financial, legal, or business advice.
  • No Warranties: We make no warranties as to the accuracy, completeness, or efficacy of AI-generated content. You are solely responsible for all business decisions made, and you agree to use AI-generated content at your own risk.
  • Data Usage: By using these features, you grant us a license to use your input data (e.g., support queries, simulation parameters) and resulting outputs to train, improve, and develop our AI models and services. All data used for training will be handled in accordance with our Privacy Policy.

5. Acceptable Use

You agree not to misuse the Platform. This includes, but is not limited to, engaging in any of the following prohibited activities:

  • Attempting to reverse-engineer, decompile, or otherwise discover the source code of the Platform.
  • Uploading or transmitting any virus, malware, or other malicious code.
  • Using the Platform for any illegal, fraudulent, or harmful purpose.
  • Interfering with the security or integrity of the Platform or the data of other users.

6. Intellectual Property

Our Platform: We retain all right, title, and interest in and to the Platform and all underlying technology and intellectual property.
Your Data: You (the Client) retain all ownership rights to your data, including your customer information and sales data. You grant us a limited license to process this data as necessary to provide the service.
Developer Extensions: Developers retain ownership of their Extensions. By submitting an Extension, you grant us a license to distribute, market, and sell it through our Platform.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL QUESTDRIUM, ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF THE PLATFORM.

8. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Platform will immediately cease.

9. Governing Law

These Terms shall be governed by the laws of the jurisdiction in which Questdrium Tech is incorporated, without regard to its conflict of law provisions.
